These Terms of Service ("Terms") form a legally binding agreement between you and IdeaPanda ("IdeaPanda," "we," "us," or "our") governing your access to and use of getideapanda.com and related services (the "Service"). By accessing or using the Service, creating an account, or purchasing access, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Service.
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements, that the information you provide is accurate, and that your use complies with all applicable laws.
To access most features you must create an account. You agree to provide accurate information, keep it current, and keep your account credentials secure. You are responsible for all activity that occurs under your account. Accounts are for a single user; you may not share your account, password, or paid access with anyone else or allow others to access paid content through your account. IdeaPanda is an informational research tool that aggregates publicly available signals and uses automated processes and artificial intelligence to synthesize them into business idea reports, scores, market summaries, monetization plans, and related analyses. The Service is provided for informational and research purposes only.
IdeaPanda does not provide business, investment, financial, legal, tax, accounting, or any other professional advice. All content produced by the Service — including idea reports, opportunity scores, monetization plans, market analyses, and risk assessments — is automated, informational, and inherently speculative. You are solely responsible for your own decisions. You should seek independent advice from qualified professionals before acting on anything you find here. We expressly disclaim all liability for any decision or action you take based on the Service.
Business outcomes depend on many factors outside our control. We do not guarantee that any idea or information will be accurate, profitable, successful, original, novel, non-infringing, legally permissible to pursue, or unclaimed by others. Ideas, signals, and reports are made available to many users and may be acted on by any of them. You are solely responsible for conducting your own due diligence — including legal, intellectual-property, regulatory, financial, and market validation — before pursuing any idea.
Content is generated from third-party public sources and AI language models and may contain errors, omissions, outdated information, or "hallucinations." We make no representations or warranties of any kind, express or implied, as to the accuracy, completeness, reliability, timeliness, or fitness for any particular purpose of any content provided through the Service. You are solely responsible for independently verifying any information before relying on it.
Paid access ("All Access") is sold and processed through our third-party payment provider, Lemon Squeezy, which acts as the merchant of record for your purchase. By purchasing, you authorize the applicable charge and agree to Lemon Squeezy's terms in addition to these Terms. Prices are shown at checkout and, unless stated otherwise, are exclusive of taxes; you are responsible for any applicable taxes. We may change prices prospectively at any time; price changes do not affect purchases already completed. All Access is a one-time purchase that grants access to the Service as described at the time of purchase, and we may add, modify, or remove features over time.
Because the Service is a digital product that delivers immediate and full access upon purchase, all sales are final and all payments are non-refundable, except where a refund is expressly required by applicable law. By purchasing, you acknowledge that you receive immediate access and, to the extent permitted by law, you waive any cancellation or "cooling-off" withdrawal right.
Subject to these Terms and your payment, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service and its content for your own internal business, research, and idea-development purposes, including pursuing or building a business based on ideas you discover. This is a license to use the Service — not a sale of it or its content.

The Service — including its software, design, user interface, scoring methodology, syntheses, compilations, text, and graphics — is owned by IdeaPanda and is protected by copyright, trademark, and other laws. The "IdeaPanda" name and logo are our marks and may not be used without our prior written permission. Content aggregated from third-party sources remains the property of those sources and is subject to their terms. We reserve all rights not expressly granted to you.
If you choose to send us ideas, suggestions, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, and exploit that feedback for any purpose, without restriction, compensation, or attribution to you.

The Service depends on and links to third-party services and content — including authentication, payment, hosting, email, and AI providers, and the public platforms whose signals we aggregate. We do not control and are not responsible for the accuracy, availability, legality, or practices of any third party. Your use of any third-party service is governed by that party's own terms and policies.
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, timely, error-free, or that any content will be accurate or reliable. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
TO THE FULLEST EXTENT PERMITTED BY LAW, IDEAPANDA AND ITS FOUNDER, OPERATORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, arising out of or relating to the Service or these Terms, whether based in contract, tort, or any other theory, and even if we have been advised of the possibility of such damages.
In no event will the total aggregate liability of IdeaPanda for all claims arising out of or relating to the Service or these Terms exceed the greater of (a) the total amount you paid us in the twelve (12) months before the event giving rise to the claim, or (b) fifty U.S. dollars (USD $50). These limitations are an essential basis of the agreement between you and us. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify, defend, and hold harmless IdeaPanda and its founder, operators, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your content or conduct, your violation of these Terms or any applicable law, or your infringement of any third-party right.
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including any violation of these Terms or conduct that we believe may harm the Service, other users, or us. You may stop using the Service at any time. Upon termination, your license ends immediately, and any provisions that by their nature should survive — including Sections 5–7 and 10–21 — will survive. Termination for your breach does not entitle you to any refund.
We may modify, suspend, or discontinue the Service or any part of it at any time, with or without notice, and without liability to you. We may also revise these Terms from time to time; the "Effective date" above reflects the latest version, and for material changes we may provide additional notice within the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. You and IdeaPanda agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding, individual arbitration, rather than in court, except that either party may (a) bring an individual claim in small-claims court, or (b) seek injunctive or equitable relief in court for the actual or threatened infringement or misuse of intellectual property.
You and IdeaPanda waive any right to a jury trial and waive any right to participate in a class, collective, consolidated, or representative action. Arbitration will be conducted on an individual basis by a neutral arbitrator, administered by a recognized arbitration provider, and seated in Georgia, USA. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and proceed in court.

These Terms and any dispute arising out of them or the Service are governed by the laws of Georgia, USA, without regard to its conflict-of-laws principles. Subject to Section 20, the exclusive venue for any permitted court action is the state and federal courts located in Georgia, USA, and you consent to the personal jurisdiction of those courts.
These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede all prior agreements. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. You may not assign or transfer these Terms without our prior written consent; we may assign them freely, including in connection with a merger, acquisition, or sale of assets. We are not liable for any failure or delay caused by events beyond our reasonable control. Nothing in these Terms creates any agency, partnership, or employment relationship.
